These Terms of Use ("Terms") govern your access to and use of the customer relationship management software and related services (the "Service") provided by CRM ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Accounts

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your account and for any team-member accounts you create. Accounts may require administrator approval before access is granted.

2. Acceptable Use

You agree not to: use the Service for unlawful purposes; upload or store data you do not have the right to use; send unsolicited, deceptive, or unlawful communications; attempt to breach security or access data that is not yours; or interfere with the operation of the Service. You are solely responsible for the content and contacts you store and the communications you send.

3. Your Data and Responsibilities

You retain ownership of the data you enter. You represent that you have the legal right to collect, store, and contact the individuals in your database, and that your use complies with all applicable laws, including privacy, anti-spam, telemarketing, and call-recording laws. You are responsible for obtaining consents and honoring opt-out requests.

4. Communications Compliance

If you use the Service to make calls or send texts or emails, you are responsible for compliance with the TCPA, CAN-SPAM, state telemarketing and recording laws, and carrier requirements (including A2P 10DLC registration for automated SMS). We provide tools, not legal advice, and do not guarantee that your use is compliant.

5. No Professional Advice

The Service is a software tool. It does not provide legal, financial, real-estate, tax, or other professional advice. You are responsible for your own business decisions and compliance.

6. Service Availability

We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time. You are responsible for maintaining your own backups of important data.

7. Intellectual Property

The Service software, design, and content (excluding your data) are owned by us or our licensors. You may not copy, resell, or redistribute the Service except as expressly permitted.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR BUSINESS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNTS, IF ANY, YOU PAID FOR THE SERVICE IN THE PRECEDING TWELVE MONTHS.

10. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your data, your communications, or your violation of these Terms or applicable law.

11. Termination

We may suspend or terminate access for violation of these Terms. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.

12. Governing Law

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-law principles. Disputes will be resolved in the courts located in that jurisdiction.

13. Changes

We may update these Terms. Material changes are indicated by the "Last updated" date. Continued use after changes constitutes acceptance.
